Terms of Service

Last updated: October 1, 2026

1. Agreement and authority

These Terms of Service (“Terms”) form a binding agreement between the person or organization accepting them (“Customer,” “you,” or “your”) and the ringSMB entity identified on the applicable order or invoice (“ringSMB,” “we,” “us,” or “our”). By creating an account, purchasing a number, or using the service, you accept these Terms. If you act for an organization, you represent that you have authority to bind it.

2. The service

ringSMB provides business calling, messaging, telephone numbers, routing, IVR, voicemail, contacts, appointments, automations, optional recording and AI-assisted features, and related applications. Features depend on carriers, devices, jurisdictions, configuration, wallet balance, and third-party availability. The service is not a traditional telephone service and is not guaranteed to operate without interruption.

3. Accounts and administrators

You must provide accurate information, maintain secure credentials, use unique accounts, and promptly notify us of unauthorized access. Workspace owners and administrators can control users, permissions, numbers, content, recordings, and billing and may access or delete workspace data. You are responsible for your users, devices, integrations, and all activity under your workspace.

4. Charges, wallet, taxes, and renewals

Prices shown at purchase or in the service apply, plus applicable taxes. Number subscriptions renew automatically until cancelled or released. Usage, carrier services, recordings, transcription, AI, and other metered features may be deducted from the workspace wallet. You authorize applicable recurring and usage charges. Wallet credits are prepaid service credits, are not bank deposits, have no cash value, and are non-refundable except where required by law. Failed payment or insufficient wallet balance may suspend features. Carrier or regulatory fees may change, and we may change prices with reasonable notice.

5. Numbers and porting

Numbers remain subject to carrier and regulator rules and are not owned property. Availability is not guaranteed until provisioning completes. You are responsible for accurate porting authorization and account information. Releasing, cancelling, or failing to renew a number may cause permanent loss. We may reclaim numbers where required by law, a carrier, non-payment, fraud, or prolonged suspension.

6. Communications compliance

You are solely responsible for the legality and content of communications made through the service. You must obtain and document all required consent; provide sender identification and opt-out mechanisms; honour do-not-call, STOP, revocation, and unsubscribe requests; comply with CASL, TCPA, A2P 10DLC, carrier rules, telemarketing and recording laws; and maintain required privacy notices. You may not use purchased, scraped, or unlawfully obtained contact lists. ringSMB does not provide legal advice or guarantee that your use complies with law.

7. Recording, transcription, and AI

You must notify participants and obtain consent before recording, monitoring, transcribing, or applying AI where required. AI output may be incomplete, inaccurate, delayed, or inappropriate and must be reviewed by a qualified person before reliance. Do not use AI output as the sole basis for legal, medical, financial, employment, credit, housing, safety, or other high-impact decisions. You control whether optional recording and intelligence features are enabled and who may access their output.

8. Acceptable use

You may not use the service for unlawful, fraudulent, deceptive, abusive, harassing, threatening, discriminatory, infringing, or unsafe activity; spam or prohibited robocalling; caller-ID spoofing or impersonation; malware or credential theft; interference with networks; emergency-service abuse; traffic pumping; artificially inflated usage; resale without authorization; or attempts to bypass security, carrier, billing, or usage controls. We may investigate, block traffic, suspend accounts, preserve evidence, and cooperate with carriers or authorities.

9. Emergency calling

Unless a specific number and service are expressly configured and confirmed for emergency calling, do not rely on ringSMB to contact 911 or other emergency services. Internet, power, device, location, configuration, or carrier failures may prevent calling or transmit incorrect location information. Maintain an independently powered and location-capable means to reach emergency services.

10. Customer data and licences

As between the parties, you retain rights in content you submit. You grant ringSMB and its providers a worldwide, limited licence to host, transmit, reproduce, transform, and process that content solely to provide, secure, support, and comply with law regarding the service. You represent that you have all rights and permissions required to provide and process the content. Feedback may be used without restriction or payment.

11. Third-party services

The service depends on telecommunications carriers, payment processors, cloud infrastructure, storage, artificial-intelligence, device-platform, notification, hosting, and email providers. Their terms and technical limits may apply. We are not responsible for third-party acts, outages, content, policy changes, or services outside our reasonable control.

12. Suspension and termination

You may stop using the service and release numbers through available controls. We may suspend or terminate access for breach, security risk, fraud, unlawful activity, carrier direction, non-payment, or material harm. Upon termination, your right to use the service ends; outstanding charges remain due; and data may be deleted after a reasonable export period, subject to legal retention and backups.

13. Account deletion

A workspace owner may request permanent deletion of the workspace and its account data by using any account-deletion control made available in the service or by emailing support@ringsmb.com from the owner’s registered email address. We may verify the requester’s identity and authority before acting. Deletion ends access for every workspace user, releases associated telephone numbers, cancels active services, and permanently removes workspace content such as contacts, messages, voicemail, recordings, transcripts, and appointments after any applicable processing period. You should export any information you need before requesting deletion. Deletion does not erase charges already incurred or create a refund of wallet credits or payments except where required by law. We may retain limited billing, transaction, security, fraud-prevention, dispute, backup, and compliance records for the periods permitted or required by law; retained information remains protected and is not used to continue providing the deleted account.

14. Disclaimers

To the maximum extent permitted by law, the service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation. We do not warrant call quality, message delivery, number availability, transcription accuracy, AI output, regulatory approval, or third-party services. Nothing in these Terms excludes warranties that cannot lawfully be excluded.

15. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or loss of profits, revenue, goodwill, data, or business interruption. ringSMB’s aggregate liability arising from the service will not exceed the greater of CAD $100 or the amounts paid to ringSMB for the service during the three months before the event giving rise to liability. These limits do not apply where prohibited by law or to liability that cannot legally be limited.

16. Indemnity

You will defend and indemnify ringSMB and its personnel against third-party claims, penalties, costs, and reasonable legal fees arising from your content, communications, users, breach of these Terms, violation of law or carrier rules, or infringement of another person’s rights.

17. Governing law and disputes

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts located in British Columbia have exclusive jurisdiction, except either party may seek urgent injunctive relief in any competent court. Applicable consumer rights remain unaffected.

18. General

These Terms, the Privacy Policy, and incorporated order terms are the entire agreement regarding the service. If a provision is unenforceable, the remainder continues. Failure to enforce is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, or business transfer. We are not liable for events beyond reasonable control. Notices may be delivered electronically. Sections intended by their nature to survive termination will survive.

19. Changes and contact

We may update these Terms to reflect service, legal, or commercial changes. Material changes will be communicated reasonably in advance when practicable. Continued use after the effective date constitutes acceptance. Questions may be sent to support@ringsmb.com.
